General Terms and Conditions of Sale

Scope

These Terms apply to all quotations, orders, and deliveries made by Media La Vista FZCO.

Governing Law

These Terms shall be governed by and construed under the laws of the United Arab Emirates. In all matters not covered by these Terms, the SpinetiX Legal Terms available at https://www.spinetix.com/legal shall apply.

Export Compliance

Media La Vista complies with UAE laws and all applicable EU/US export control regulations. Products incorporating SpinetiX technology (e.g., HMP400/HMP400W) may not be sold or re-exported to Russia, Belarus, or occupied regions of Ukraine, in line with EU Regulation No 833/2014 and OFAC restrictions.

Prices and Taxes

Prices are quoted in AED or USD.

Delivery Terms

Deliveries are made under Incoterms 2020, typically EXW Dubai. The buyer is responsible for customs clearance, duties, and insurance.

Acceptance of Goods

Buyer must inspect goods upon receipt. Claims for discrepancies must be made within 10 days. Dead-on-arrival (DOA) units must be reported within 24 hours of installation.

Warranty

Standard hardware warranty is 3 years, unless otherwise specified. If extended warranty is purchased, it is 5 years. Warranty does not cover misuse or unauthorized modifications.

Limitation of Liability

Media La Vista is not liable for indirect or consequential damages. Liability shall not exceed the invoiced value of the defective product.

Terms of Service for Online Services

Terms of Service apply to Media La Vista's online services (cloud dashboards, support portals, integrations, support). By using our services, you agree to these Terms as well as our General Terms and Conditions of Sale. Services are intended for business customers located within Middle East countries. You are responsible for maintaining confidentiality of login credentials. We aim to provide continuous access but do not guarantee uninterrupted service. Media La Vista reserves the right to suspend accounts in cases of misuse or violation of applicable laws. Processing is handled under our Privacy Policy. Shipment Terms

Shipments are handled according to Incoterms® 2020. Default term: EXW Dubai, UAE, unless otherwise agreed in writing. Risk passes to the buyer upon collection from Media La Vista warehouse. The buyer is responsible for arranging transport insurance. Media La Vista shall not be liable for delays due to customs, freight, or force majeure.

Payment Terms and Penalties

Payment terms are specified in each issued invoice. In the event of delayed payment, the Buyer shall pay a penalty of 0.5% of the total invoice amount for each day of delay.
If the payment delay exceeds 30 days, the Seller reserves the right to suspend or deactivate any acquired licenses until full payment is received.

Return Merchandise Authorization (RMA) Process

Media La Vista FZCO follows a structured Return Merchandise Authorization (RMA) process. DOA (Dead on Arrival) must be reported within 24 hours of first installation. Products under 3-year warranty, or 5 years if purchased, will be repaired or replaced. Repairs outside warranty may be performed at buyer's expense. The customer pays for return shipment. Media La Vista covers return shipment of repaired or replacement units. Process: submit RMA request via support email/contact form. Receive RMA number and shipping instructions. Return product with RMA number clearly marked.

Product Support Status

Media La Vista aligns with SpinetiX support cycles. Current hardware products distributed by Media La Vista follow the same support status as listed here: www.spinetix.com/about-spinetix/legal

By purchasing SpinetiX products with Media La Vista FZCO and using them or software, you accept the following EULA listed on SpinetiX website: www.spinetix.com/about-spinetix/legal
